Terms of Service

These Terms form a binding agreement between you and the operator of the VocalBubble Service (referred to as "VocalBubble", "we", "us", or "our"). By using the Service, you represent and warrant that you are at least the age of majority in your jurisdiction and that you have the legal capacity and authority to enter into these Terms on your own behalf or on behalf of the entity you represent.

We may update or modify these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

In addition to these Terms, your use of the Service may be subject to additional policies, guidelines, or rules, including our Privacy Policy, which describes how we collect, use, and protect your information. All such policies are incorporated by reference into these Terms.

2.1 Account Registration

To access certain features of the Service, you may be required to register for an account. When you create an account, you agree to provide accurate, current, and complete information and to keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. VocalBubble will not be liable for any loss or damage arising from your failure to safeguard your account information.

2.2 Subscription, Trials, and Fees

Certain features of the Service may be offered on a paid subscription basis, with or without a free trial period. By starting a subscription, you authorize us or our third‑party payment processor to charge all applicable fees to the payment method you provide. Unless otherwise stated, subscriptions will automatically renew at the end of each billing period at the then‑current rate.

You may cancel your subscription at any time through your account settings or by contacting us using the information provided in the Contact section below. Unless required by law or expressly stated otherwise, all fees are non‑refundable.

2.3 User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms and any applicable documentation. You are responsible for all content, data, and activity associated with your use of the Service, including content created, uploaded, or distributed through your account.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that the organization accepts these Terms.

You agree not to misuse the Service or help anyone else do so. Without limiting the foregoing, you must not:

• Use the Service in any manner that violates any applicable law, regulation, or third‑party right, including privacy, intellectual property, or contractual rights.
• Upload, create, or share any content that is unlawful, harmful, fraudulent, defamatory, harassing, hateful, discriminatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Service, other user accounts, or any systems or networks connected to the Service.
• Interfere with or disrupt the integrity or performance of the Service, including by introducing viruses, malware, or other harmful code, or by launching denial‑of‑service attacks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Service, except to the extent such restrictions are prohibited by applicable law.
• Use any automated system, script, or software (including bots, crawlers, or scrapers) to access or interact with the Service in a way that imposes or may impose an unreasonable or disproportionately large load on our infrastructure.
• Resell, sublicense, or otherwise make the Service available to any third party on a service bureau or similar basis without our prior written consent.

We reserve the right, in our sole discretion and without prior notice, to remove or disable access to any content, suspend or terminate accounts, or take any other action we deem necessary to enforce these Terms or protect the Service, our users, or third parties.

The Service, including all software, code, visual interfaces, interactive features, graphics, design, text, and all other elements of the Service (excluding content you provide), are owned by or licensed to VocalBubble and are protected by copyright, trademark, and other laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted, and all rights are reserved.

Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Service for your internal business purposes during the term of your subscription or authorized access.

By submitting, uploading, or otherwise making available any content through the Service, you grant VocalBubble a worldwide, non‑exclusive, royalty‑free license to host, store, reproduce, and display such content solely as necessary to provide and improve the Service and as otherwise permitted by our policies.

5.1 No Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, VocalBubble expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, as well as any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error‑free, secure, or free from harmful components, or that any content will be accurate, complete, or up to date. Your use of the Service is at your sole risk.

5.2 Limitation of Liability

To the fullest extent permitted by law, in no event will VocalBubble, its affiliates, directors, employees, licensors, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage.

To the fullest extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you have paid to us for the Service in the six (6) months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the above limitations and disclaimers may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

5.3 Indemnification

You agree to indemnify, defend, and hold harmless VocalBubble and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your content or your violation of any third‑party right.

We may suspend or terminate your access to the Service, or any portion thereof, at any time and for any reason, including if we reasonably believe that you have violated these Terms or are using the Service in a way that may cause harm to us, other users, or third parties.

Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms, including but not limited to ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions, will survive termination.

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the jurisdiction in which VocalBubble is established, without regard to its conflict of law provisions.

You agree to first contact us to attempt to resolve any dispute informally. If a dispute cannot be resolved informally, it will be submitted to the courts of competent jurisdiction in the applicable venue, unless a different dispute resolution mechanism is required by mandatory law.
